The board of Directors shall be composed of the Chairperson of the Economic and Business Development Committee serving as an ex officio Director and three (3) persons appointed by the Economic and Business Committee to serve two-year terms.
- Only citizens of the Oglala Sioux Tribe are eligible to be appointed as Directors.
- The three persons appointed by the Economic and Business Development Committee shall be selected based on the following:
- One Director shall be appointed based on relevant business experience;
- One Director shall be appointed based on technical experience relevant to carrying out the purpose of the Company; and
- One Director shall be appointed based on experience relevant to operating tribal programs.
- Pursuant to Oglala Sioux Tribal Council Resolution, No. 22-83, the Economic and Business Development Committee has the authority to remove Directors if the Director has more than three (3) unexcused absences from a Board of Directors meeting and shall fill any vacancies on the Board of Directors by reason of death, incapacitation, resignation, or removal.
- The Board of Directors shall select a Chairperson, Vice Chairperson, and Secretary/Treasurer from among the three (3) Directors appointed by the Economic and Business Development Committee, and this selection shall occur by majority vote of all of Directors, including the ex officio Director.
Board of Directors Responsibilities
The Board of Directors shall not take part in the day-to-day operation of the Company’s affairs. The Board of Directors shall serve as a liaison between the Oglala Sioux Tribal Council and the Company and shall act as an advisor to the Manager.
The Board of Directors shall satisfy the following responsibilities:
- Enact Bylaws for the Board of Directors and other policies to govern the Company;
- Provide guidance to the Manager;
- Regularly review and update Company policies in coordination with the Manager;
- Submit a regular meeting schedule to the Economic and Business Development Committee each fiscal quarter;
- Except for the ex officio Director, attend all Board meetings; and
- Provide a monthly report to the Economic and Business Development Committee on the financial and operating condition of the Company.
